("IBM SA" o la "Sociedad Absorbente"), celebrada con carácter universal, y la propia IBM SA, en su condición de socio único de Confluent Spain, S.L.U. ("Confluent Spain" o la "Sociedad Absorbida"), han aprobado la fusión por absorción de Confluent Spain por IBM SA(la "Fusión"). En adelante, IBM SA y Confluent Spain serán referidas, conjuntamente, como las "Sociedades". La Fusión ha sido aprobada en los términos exactos del proyecto común de fusión formulado, redactado y suscrito el 23 de junio de 2026 por todos los miembros de los órganos de administración de la Sociedad Absorbente y la Sociedad Absorbida (el "Proyecto de Fusión"). Asimismo, en aplicación del artículo 9.1 del Real Decreto-Ley 5/2023, dado que la Fusión ha sido objeto de aprobación (i) en Junta Universal y por unanimidad de todos los accionistas con derecho de voto de la Sociedad Absorbente; y (ii) por IBM SA, en su condición de socio único de la Sociedad Absorbida; no ha resultado preciso publicar o depositar el Proyecto Común de Fusión ni los restantes documentos exigidos por el Real Decreto-Ley 5/2023, ni realizar el anuncio relativo a la posibilidad de formular observaciones sobre el proyecto de modificación estructural con carácter previo a la aprobación del a Fusión por los referidos órganos de gobierno de las Sociedades. Tal y como se indica en el Proyecto de Fusión, la Fusión se articulará mediante la absorción de Confluent Spain por IBM SA, con extinción, vía disolución sin liquidación, de Confluent Spain, y transmisión en bloque y por sucesión universal de la totalidad de su patrimonio a favor de IBM SA, que adquirirá, en consecuencia, todos los derechos y obligaciones de Confluent Spain. Se deja constancia de que, estando Confluent Spain íntegra y directamente participada por IBM SA, resulta plenamente aplicable a la Fusión el procedimiento especial simplificado previsto en el artículo 53.1 del Real Decreto-ley 5/2023, tal y como se detalla en el Proyecto de Fusión. Se hace constar expresamente el derecho que asiste a los socios y acreedores de las Sociedades de obtener el texto íntegro de los acuerdos y decisiones adoptados y de los balances de fusión, los cuales se encuentran a su disposición en los respectivos domicilios de las Sociedades.
