("Repsol" o la "Sociedad"), celebrada en segunda convocatoria el 14 de mayo de 2026, aprobó, dentro del punto séptimo del orden del día, reducir el capital social de la Sociedad en el valor nominal agregado, con el máximo que se indica a continuación, que representen las acciones, de un euro de valor nominal cada una, adquiridas por la Sociedad a través del programa de recompra dirigido a todos los accionistas, de un máximo de 37.500.000 acciones propias y con una inversión máxima neta de 350.000.000 de euros, aprobado por el Consejo de Administración de la Sociedad en su reunión del 18 de febrero de 2026 y puesto en marcha por el Consejero Delegado el 9 de marzo de 2026. En cumplimiento de lo previsto en el artículo 319 de la Ley de Sociedades de Capital, se comunica que el Consejero Delegado de la Sociedad, de conformidad con la autorización conferida por la Junta General de Accionistas antes referida y con la delegación efectuada en su favor por el Consejo de Administración, ha acordado en el día de hoy reducir el capital social de Repsol en la cuantía de 15.768.002 euros, mediante la amortización de 15.768.002 acciones propias adquiridas a través del referido programa de recompra. El capital social de la Sociedad tras la reducción ha quedado fijado en 1.089.606.334 euros, correspondientes a 1.089.606.334 acciones de un euro de valor nominal cada una. La finalidad de la Reducción de Capital es la amortización de acciones propias, coadyuvando a la retribución del accionista de la Sociedad mediante el incremento del beneficio por acción. La Reducción de Capital no ha entrañado la devolución de aportaciones, por ser la propia Sociedad la titular de las acciones amortizadas. A los efectos de lo previsto en el artículo 335 c) de la Ley de Sociedades de Capital, se ha dotado con cargo a reservas libres (en concreto, con cargo a la cuenta de reservas voluntarias) una "reserva por capital amortizado" por un importe igual al valor nominal de las acciones amortizadas (esto es, 15.768.002 euros), de la que solo será posible disponer con los mismos requisitos que los exigidos para la reducción del capital social. En consecuencia, conforme a lo señalado en dicho precepto, los acreedores de la Sociedad no tendrán el derecho de oposición al que se refiere el artículo 334 de la Ley de Sociedades de Capital en relación con la reducción de capital. Asimismo, se comunica que Repsol solicitará la exclusión de negociación de las acciones amortizadas en las Bolsas de Valores de Madrid, Barcelona, Bilbao y Valencia, a través del Sistema de Interconexión Bursátil (Mercado Continuo) y la cancelación de esas mismas acciones amortizadas en los registros contables de "Sociedad de Gestión de los Sistemas de Registro, Compensación y Liquidación de Valores, S.A."
