(la "Sociedad Escindida"), reunidos en junta general universal y por unanimidad, y el socio único de THE GB FOODS EUROPA, S.L.U. (la "Sociedad Beneficiaria"), aprobaron la escisión parcial inversa de cartera de la Sociedad Escindida en favor de la Sociedad Beneficiaria (la "Escisión"), de conformidad con los términos del proyecto común de escisión parcial suscrito por todos los miembros de los respectivos Consejos de Administración de la Sociedad Escindida y de la Sociedad Beneficiaria el 16 de junio de 2026. Concretamente, mediante la Escisión se pretende llevar a cabo una escisión de cartera que supondrá la transmisión en bloque por sucesión universal de la unidad económica consistente en el 100% de las participaciones sociales de la Sociedad Beneficiaria de las que es titular la Sociedad Escindida, en favor de la propia Sociedad Beneficiaria sin que ello suponga ninguna alteración en el capital social de la Sociedad Escindida. Como consecuencia de la Escisión, esta adquiriría el 100% de sus propias participaciones sociales para, en unidad de acto y como contraprestación, entregarlas directamente a los accionistas de la Sociedad Escindida en idéntica proporción a la participación que cada uno de ellos ostenta en aquella. Asiste a los accionistas, a los trabajadores de la Sociedad Beneficiaria y a los acreedores de la Sociedad Escindida y de la Sociedad Beneficiaria el derecho a obtener el texto íntegro de los acuerdos adoptados y del balance de escisión, todo ello en los términos del artículo 10.1 de la LME, así como a ejercitar los demás derechos reconocidos en la LME. A los efectos oportunos, se deja constancia de que la Sociedad Escindida no tiene trabajadores. En este sentido, no se espera que la Escisión tenga consecuencias sobre el empleo.
