Quarvelo Logística SL: who stands behind your client’s new supplier

A company search shows one small logistics firm. The register shows a holding that changed its name and its city, a board that replaced its founder, an owner the gazette stopped naming, and a director with a company in insolvency proceedings.

The question

A British distributor is about to sign a supply agreement with Quarvelo Logística SL. Who stands behind the company, and what should the file note say?

The answer

Quarvelo Logística SL was set up in 2016 with Quarvelo Holding SL as its sole shareholder, and has been run since then by a sole administrator who is also the holding’s chief executive Sep 2016. Since May 2022 it no longer has a sole shareholder: someone else now holds shares, and the gazette does not say who May 2022.

The holding is older than its name: it was incorporated in Barcelona in 2009 as Inversiones Lusmedra SL, renamed in 2012 and moved to Madrid in 2017, so its history sits on two registry sheets. Its capital rose from €3,010 to €1.95 million in three steps.

Two points belong in the file note: the chief executive also administers Tescavira Obras SL, a Valencia company in insolvency proceedings since September 2024 Sep 2024; and a 2020 notice misprints that director’s surname, which makes one person look like two Mar 2020.

Chapter 1

One company, two names and two registry sheets

Quarvelo Holding SL began life in Barcelona in March 2009 as Inversiones Lusmedra SL, a holding company with just over the legal minimum of capital and one founder as sole administrator and sole shareholder Mar 2009.

In June 2012 it took the name Quarvelo Holding SL. The same notice records that it was no longer a single-shareholder company Jun 2012.

In December 2017 it moved its registered office to Madrid. The Madrid registry opened a new sheet under a new number; its first notice records the change of registered office and does not cite the Barcelona sheet Dec 2017. The Barcelona registry published nothing about the move.

Why it mattersA search under the current name, or in the Madrid registry alone, starts in December 2017 and misses eight years of history. Mapa Societario joins the two sheets and both names into one company.

Chapter 2

A board took over from the founder

For its first six years the founder ran the holding alone, as sole administrator. In May 2015 the company replaced that post with a board of four: the founder as chair, a chief executive, a secretary and one further director May 2015.

In July 2019 the founder stepped down as chair but stayed on the board. A newcomer to the group became chair Jul 2019. No later notice changes the board, so this is its current composition as published.

ReadingSince 2015 the person who matters day to day is the chief executive, who also runs Quarvelo Logística alone. The founder’s influence after 2019 is not visible in the register.

Chapter 3

Money came in three times

The holding was founded with €3,010. It raised its capital to €250,000 when the board was created May 2015, to €1,200,000 a few months after the move to Madrid Apr 2018, and to €1,950,000 in February 2021 Feb 2021.

Each increase is published with the amount subscribed and the resulting capital, which is what the chart shows. The gazette does not say who put the money in, or whether it came as cash or as assets.

ReadingCapital is a commitment by the shareholders, not a measure of the group’s size or health. For turnover, profit and debt, read the annual accounts: they are filed with the registry, not published in the gazette, and copies are ordered from the registry.

Chapter 4

Who owns the company your client is signing with

Quarvelo Holding set up two subsidiaries as their sole shareholder: Quarvelo Solar SL in 2014 Feb 2014 and Quarvelo Logística SL in 2016 Sep 2016. Solar was dissolved in June 2021 Jun 2021 and struck off in December Dec 2021.

In May 2022 Quarvelo Logística published that it was no longer a single-shareholder company, together with a capital increase from €60,000 to €100,000 May 2022. From that date the register no longer tells you who owns it.

ReadingThe two acts in one notice suggest that a new shareholder came in through the increase, with about 40% of the capital if the holding did not subscribe. That is an inference, not a published fact: the holding may have sold shares, and the newcomer could be anyone.

The holding itself has not been a single-shareholder company since 2012 Jun 2012, so its owners are not in the gazette either.

Chapter 5

The chief executive’s other company is in insolvency proceedings

The holding’s chief executive has been Quarvelo Logística’s sole administrator since 2016 Sep 2016, and the 2020 re-election keeps the post Mar 2020.

A director with the same full name was appointed joint and several administrator of Tescavira Obras SL, a Valencia building company outside the group, in October 2019 Oct 2019. In September 2024 the gazette published that Tescavira Obras is in insolvency proceedings before a Valencia commercial court Sep 2024.

ReadingBORME carries no personal identification number, so a matching name is a lead, not proof. Here the given name and both surnames match, apart from one misprint (chapter 6). The proceedings concern Tescavira Obras only; nothing published links them to the Quarvelo companies.

Chapter 6

One misprint, not a second person

In three notices the chief executive’s second surname is printed the same way. In the March 2020 re-election at Quarvelo Logística it is printed with one letter missing Mar 2020.

Read literally, the register would show a new administrator replacing the old one. Mapa Societario flags the notice as a probable misprint: same company, same post, same given name and first surname, one letter apart, and no notice of a resignation.

Why it mattersA tool that takes every spelling at face value would report a change of control at your client’s counterparty that never happened, or miss the link to Tescavira Obras.

What to put in the file note

What the register shows

  • The counterparty is an operating subsidiary of a Madrid holding.Set up in 2016 by Quarvelo Holding SL as sole shareholder; run by a sole administrator.
  • The holding has a long, joined history.Incorporated 2009 in Barcelona as Inversiones Lusmedra SL; renamed 2012; in Madrid since 2017. Capital €1,950,000.
  • One director, one company in insolvency proceedings. The counterparty’s administrator, by name match, also administers Tescavira Obras SL, in insolvency proceedings since September 2024.
  • One misprint, explained. The March 2020 notice misspells the administrator’s second surname; it is not a change of administrator.

Open questions, and where to answer them

  1. Who holds shares in Quarvelo Logística since 2022?Ask the counterparty for its register of shareholders. Beneficial ownership information is not public in Spain; access requires a legitimate interest.
  2. Is the Tescavira administrator the same person?Confirm identity in onboarding documents, and check the state of the proceedings in the public insolvency register.
  3. Who owns the holding? Not published since 2012. Ask, and order the latest annual accounts of both Quarvelo companies from the Registro Mercantil.

How a real narrative is made

Each chapter is written from the notices published in the BORME, the official gazette of Spain’s commercial registries. Every claim carries the notice it comes from, and figures and dates are checked against those notices before delivery. Readings in purple boxes are interpretation, kept apart from what was published. Mapa Societario is not the Registro Mercantil and issues no certificates.

This sample is fictitious: the companies, the people and the notice texts were written for illustration, in the form real notices take. Any resemblance to a real company or person is unintended.
